Director of Legal Affairs

We are seeking a strategic Director of Legal Affairs to lead enterprise legal governance, regulatory advisory alignment, intellectual property coordination, and corporate risk mitigation, fully remote within the United States.

This is not a contract review role. This is a strategic legal leadership mandate within a highly regulated scientific enterprise.


Job Function

The Director of Legal Affairs will oversee legal strategy across corporate governance, regulatory compliance advisory, intellectual property coordination, clinical program legal support, commercial contracting, and enterprise risk management.

The role ensures the organization maintains disciplined legal oversight while enabling scientific and commercial advancement.


Essential Duties and Responsibilities

  • Lead enterprise legal governance across corporate, regulatory, and commercial functions

  • Provide legal advisory support for clinical development and regulatory strategy

  • Oversee intellectual property coordination with patent counsel and innovation teams

  • Draft and negotiate complex commercial agreements, licensing contracts, and research collaborations

  • Guide corporate governance compliance and board reporting requirements

  • Oversee litigation management and external counsel coordination

  • Strengthen data privacy and healthcare regulatory compliance alignment

  • Support mergers, acquisitions, and strategic partnership transactions

  • Manage legal risk assessment frameworks across enterprise operations

  • Implement internal policy governance and compliance training initiatives

  • Advise executive leadership on evolving healthcare and biotechnology regulations

  • Provide executive-level reporting on legal risk posture and mitigation strategy


Strategic Support

  • Advise General Counsel and CEO on long-term regulatory and legal risk exposure

  • Support expansion into new therapeutic and international markets

  • Contribute to M&A due diligence and transaction structuring

  • Align legal strategy with commercialization and licensing initiatives

  • Strengthen institutional investor confidence through disciplined governance

  • Support enterprise ESG and compliance reporting initiatives


Job Qualifications and Requirements

  • 12–18+ years of progressive legal experience

  • 6+ years within biotechnology, pharmaceuticals, healthcare, or regulated life sciences industries

  • Proven experience supporting clinical development and regulatory compliance

  • Strong expertise in contract negotiation and intellectual property coordination

  • Experience managing outside counsel relationships

  • Demonstrated ability to operate in high-growth, innovation-driven environments

  • JD from an accredited law school is required

  • Active U.S. bar membership required

Working Conditions

  • Fully Remote – United States

  • Periodic domestic travel for executive and board meetings (10–20%)

Compensation & Benefits

Total Executive Compensation Package: $210,000 – $320,000 USD
